These Terms of Service ("Terms") govern your access to and use of the Healthdex platform and services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms.
By creating an account, accessing our platform, or using any of our Services, you agree to these Terms and our Privacy Policy. If you do not agree, do not use our Services.
These Terms constitute a legally binding agreement between you (either as an individual or on behalf of an organization) and Healthdex.

Healthdex owns all rights, title, and interest in and to the Services, including all software, algorithms, data structures, user interfaces, and documentation. Our platform is protected by copyright, trademark, and other intellectual property laws.
The underlying transparency data (hospital MRFs, TiC files, CMS directories) is public information. However, our aggregation, structuring, normalization, and presentation of this data is proprietary. You receive a limited, non-exclusive, non-transferable license to access and use this data through our platform for your internal business purposes only.
Data exported from our platform (Excel, PowerPoint, PDF) may be used internally or shared with clients/stakeholders as part of your advisory work, but may not be redistributed as a standalone data product or used to create a competing service.
Subscription fees are based on your selected plan (Starter, Professional, Enterprise). Fees are billed monthly or annually in advance and are non-refundable except as required by law.
We accept payment via credit card or ACH. By providing payment information, you authorize us to charge the applicable fees to your payment method.
We may change our pricing with 30 days' notice. Price changes apply to subsequent billing cycles and do not affect your current billing period.
If payment fails, we will attempt to collect payment for up to 15 days. After 15 days, your account may be suspended until payment is received. Accounts suspended for more than 30 days may be terminated.
You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. You will retain access until that date, but no refund will be issued for the remainder of the period.

Upon termination, your access to the Services will cease immediately. We will delete your account data within 90 days unless retention is required by law. You may request a final data export within 30 days of termination.
Our data is sourced from publicly available CMS files, hospital transparency disclosures, and payer TiC files. We process this data in good faith but do not control the accuracy or completeness of the underlying source files.
While we strive for accuracy, we do not warrant that our data is error-free, complete, or current. Healthcare organizations and payers may update their files at any time. Some files may contain errors or omissions. We document known data gaps and quality issues where identified.
Our Services provide market intelligence to inform your decisions. However, you are responsible for validating any data before relying on it for critical business decisions, contract negotiations, or legal proceedings. We recommend consulting with legal, financial, or healthcare advisors as appropriate.
We strive for 99.5% uptime but do not guarantee uninterrupted access. We may perform scheduled maintenance and occasionally experience unplanned outages. We are not liable for any downtime or service disruptions.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, HEALTHDEX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, ARISING FROM YOUR USE OF OR INABILITY TO USE OUR SERVICES.
OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF OUR SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.
You agree to indemnify and hold harmless Healthdex, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:
We may modify these Terms at any time. We will provide notice of material changes via email or platform notification at least 30 days before they take effect. Your continued use of our Services after changes become effective constitutes acceptance of the modified Terms.
These Terms are governed by the laws of the State of Ohio, United States, without regard to conflict of law principles.
Any disputes arising from these Terms or your use of our Services shall first be resolved through good faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the American Arbitration Association's Commercial Arbitration Rules.
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Healthdex regarding your use of our Services.
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full effect.
Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.
You may not assign or transfer these Terms or your account without our written consent. We may assign these Terms without restriction.
